Acceptance of Terms
Welcome to Next G Technology. By accessing our website at https://nextgtechnology.com, contacting us for services, or entering into any service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
These terms apply to all visitors, clients, users, and others who access or use our services. If you do not agree with any part of these terms, you must not use our services.
Our Services
Next G Technology provides a range of IT and digital services including but not limited to:
- Website Design & Development (static, dynamic, e-commerce, portals)
- Mobile Application Development (iOS, Android, cross-platform)
- UI/UX Design & Prototyping
- Digital Marketing (SEO, PPC, Social Media, Content Marketing)
- Cloud Solutions & Deployment (AWS, Azure, Google Cloud)
- AI/ML Integration & Custom Software Solutions
- Annual Maintenance Contracts (AMC) & Technical Support
The exact scope of services, deliverables, timelines and pricing for each project are defined in a separate Statement of Work (SOW) or Service Agreement signed between both parties. These Terms govern all such agreements unless explicitly stated otherwise in writing.
User & Client Obligations
As a client or user of our services, you agree to the following responsibilities:
- Provide accurate, complete and up-to-date information required for project execution.
- Respond to queries and provide feedback within reasonable timeframes to avoid project delays.
- Ensure all content, images, logos and materials provided to us are legally owned by you or properly licensed for use.
- Not use our services to create, distribute or promote illegal, harmful, defamatory or infringing content.
- Not engage in any activity that could damage, disable or impair our systems or infrastructure.
- Keep your login credentials, if any, confidential and secure.
- Notify us immediately of any unauthorised access to your account or project materials.
Failure to comply with these obligations may result in project delays, additional costs, or termination of services.
Intellectual Property
Intellectual property rights related to our services are governed as follows:
- Client-Owned Assets: Upon receipt of full and final payment, all custom-developed source code, design files, content and deliverables created specifically for your project are transferred to you. We provide an IP transfer letter upon request.
- Third-Party Components: Open-source libraries, frameworks, plugins and licensed third-party assets remain subject to their respective licenses. These are not exclusively transferred to the client.
- Next G Technology IP: Our proprietary tools, internal frameworks, templates, methods, processes and pre-existing intellectual property remain our exclusive property and are not transferred under any agreement.
- Portfolio Rights: We reserve the right to showcase completed projects in our portfolio, website and marketing materials unless you request confidentiality in writing prior to project start.
Payment & Refund Policy
All financial matters are governed by the following terms:
- Payment Structure: Projects typically require a 50% advance payment before commencement. The remaining balance is due upon project completion and before final delivery, unless otherwise agreed in writing.
- Invoicing: Invoices are raised per agreed milestones. Payments are due within 7 working days of invoice date unless otherwise specified.
- Late Payment: Overdue payments beyond 15 days may attract a late fee of 2% per month on the outstanding amount. We reserve the right to pause work on unpaid projects.
- Taxes: All prices quoted are exclusive of applicable GST (18%) unless stated otherwise. GST will be charged as per Indian tax regulations.
- Refund Policy: Advance payments are non-refundable once work has commenced. If a project is cancelled before work begins, the advance may be refunded after deducting any administrative or consultation costs incurred.
- Disputed Invoices: Any invoice disputes must be raised within 7 days of receipt. Undisputed portions must be paid by the original due date.
Confidentiality
Both parties agree to maintain strict confidentiality regarding all non-public information exchanged during the course of the engagement, including but not limited to:
- Business strategies, plans and financial information
- Technical specifications, source code and system architectures
- Customer data, user databases and CRM information
- Proprietary processes and trade secrets
This confidentiality obligation survives termination of the agreement for a period of 3 years. We will not disclose your confidential information to third parties except where required by law or with your prior written consent.
For projects requiring formal confidentiality assurance, we are happy to execute a separate Non-Disclosure Agreement (NDA) prior to project commencement.
Limitation of Liability
To the fullest extent permitted by applicable law, Next G Technology shall not be liable for:
- Any indirect, incidental, special, consequential or punitive damages arising from the use or inability to use our services.
- Loss of data, revenue, profits, business opportunities or goodwill.
- Damages resulting from third-party services, hosting providers, payment gateways or APIs beyond our control.
- Security breaches caused by client-side vulnerabilities, shared credentials or unauthorized access not attributable to our negligence.
- Any delays caused by client inaction, unavailability of client approvals or external dependencies.
Our total cumulative liability under any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 3 months preceding the incident.
Termination
Either party may terminate a service agreement under the following conditions:
- By Client: You may terminate the agreement with 15 days written notice. Fees for work completed up to termination date will be due and payable. Advance payments for incomplete work are non-refundable.
- By Next G Technology: We may terminate with 15 days written notice if payment obligations are not met, or if the client engages in conduct that violates these Terms or makes project execution impossible.
- Immediate Termination: Either party may terminate immediately if the other party commits a material breach and fails to remedy it within 7 days of written notice.
- Effect of Termination: Upon termination, all access to our systems and resources will be revoked. Deliverables completed and paid for will be handed over; incomplete work remains property of Next G Technology.
Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Uttarakhand, India.
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
